### Section A: Contract Preamble
#### A.1 Contract Purpose
This Animal Spirit Contract is meant to create a binding agreement between parties for the purpose of enabling an Animal Spirit NFT Agreement. The Contract allows any number of parties to sign it.#### A.2 Contract Scope
This Contract covers the terms of the agreement, the rules for engagement, payment, and dispute resolution.#### A.3 Contract Term
This Contract is valid from the moment it is digitally signed by at least two parties and remains in effect until either party terminates the agreement.### Section B: Contract Rules
#### B.1 Signatures
This Contract is considered agreed upon and active when it has been digitally signed by at least two Parties.##### B.1.1 Adding Parties
Any party can sign this Contract at any point in time, thus agreeing to the terms and conditions.#### B.2 Payment
Payment for services rendered under this Contract will be made in accordance with the terms specified in Section C: Payment Terms.##### B.2.1 Dispute Resolution
In the event of a dispute, Parties should work together in good faith to reach a resolution. If a resolution cannot be reached, the Parties agree to seek the assistance of a mutually agreed-upon mediator to resolve the dispute.### Section C: Payment Terms
#### C.1 Currency
All payments will be made in Brazilian Reais (R$).#### C.2 Method of Payment
Payments shall be made via bank transfer or other mutually agreed-upon payment method.#### C.3 Payment Schedule
Payments shall be made at agreed-upon intervals, based on the services rendered.##### C.3.1 Late Payments
Late payments will accrue interest at a rate of 1% per Lunar Cycle (approximately 28 days).##### C.3.2 Grace Period
A grace period of 3 Cycles (approximately 12 days) is allowed for late payments. If payment is not made within this grace period, the other party may terminate the Contract.#### C.4 Payment Alignment
Payments must be aligned. If a Clock Payment is not Aligned, it will always be open until it is closed. When the Clock is paid but not aligned, you must pay the late payment and the next payment within the First Cycles after the late payment to align the payments. The maximum time to align payments is 3 Cycles.### Section D: Contract Termination
#### D.1 Termination by Either Party
Either party may terminate this Contract at any time with written notice to the other party.#### D.2 Termination Due to Breach
If either party breaches any material term of this Contract, the non-breaching party may terminate the Contract immediately upon written notice to the breaching party.### Section E: General Provisions
#### E.1 Amendments
This Contract may be amended or modified only by a written agreement signed by both parties.#### E.2 Entire Agreement
This Contract constitutes the entire agreement between the parties and supersedes all prior or contemporaneous agreements, whether written or oral.#### E.3 Severability
If any provision of this Contract is held to be invalid or unenforceable, the remaining provisions shall remain in full force and effect.#### E.4 Governing Law
This Contract shall be governed by and construed in accordance with the laws of Brazil.#### E.5 Dispute Resolution
